DEED OF INDEMNITY is made at . . . .. . . . . this . . . . day of . . . . between . . . . . . . . . . . . . . . r/o. . . . . . . . . . . . . . .. . hereinafter referred to as `the Share holder' of the One Part and M/s. . . . . . . . . . . . . ..Co., a Company registered under the Companies Act, 1956 and having its registered office at . . . . .. .. . . . . . . . . . . . . . . . . hereinafter referred to as `the Company' of the Other Part.
WHEREAS
l. The Shareholder holds shares in the subscribed capital of the Company, bearing Sr. Nos. . . . . . . . . . . . . to . . . . . . . . . . . Folio No. . . . . . . . . of the face value of Rs. . . . . . . . . . . each.
2. The Company has issued to the Shareholder the share certificate bearing No. . . . . . in respect of the said shares.
3. The Shareholder has represented to the Company that he has lost the said share certificate and he has applied for issuing another certificate in respect thereof and the Company has agreed to do so on the Share holder agreeing to indemnify the Company against any claim made by any person against the Company in respect of the said share certificate.
4. The Share holder has represented to the Company that he has not transferred the original share certificate to any person nor has he deposited the same with any person as security or otherwise.
NOW THIS DEED WITHNESSETH that pursuant to the said agreement and in the premises, the Shareholder agrees to indemnify and keep indemnified the Company against all loss, costs, charges and expenses that the Company may incur or suffer on account of any person establishing his claim to the said original share certificate either by way of transfer of shares or otherwise howsoever.
