In crease in authorised share capital

13 January 2014 What are the procedure for increasing authorised share capital? Please provide step by step process?

1. The Company is a private limited company inorporated in dec-2013 withe authorised share capital of Rs. 1 lac now it is to be increased to Rs. 28,00,000/- fully equity shares only.

pass resloution for increase in capital section 94

pass resolution to alter its MOA.

Pass resolution to convene GM for shareholders approval.

Convene GM

Pass ordinary resolution for Authorised capital and Memorandum

Pass special resolution for articles

File form 23 and Form 5 in roc

13 January 2014 First you need to find out provisions of MOA and AOA. In case, capital of the company is as per Clause V of MOA you can do the capital increase by passing ordinary resolution

For which you need to alter clause V of MOA by Convening EGM and passing Ordinary resolution

Change MOA Clause V for capital clause (new capital of Rs. 28 Lacs)

Then file Form 5 for increase in capital (with amended MOA as attachment) and paying differential stamp duty (For additional Rs. 27 lacs)

In case change in capital involves alteration of AOA, then it can be done with special resolution. File that resolution in Form 23 which will generate its own SRN

Then follow the procedure mentioned above for filing Form No 5 quoting the SRN of Form No 23
