28 September 2011 You are saying you need resolution for appointing MD as Director. But as per law only a person who is director can be appointed as MD.
Please clarify the position to proceed further.

29 September 2011 Sir actually a person is already a MD in the company but now he wants his friend to become the MD and he himself just wants to be a director instead?So now in board resolution how shld i mention it.
