Self hand signed MOA and AOA of the company and if required Power of Attorney, duly stamped and executed by all the subscribers, authorizing any one of them or any other person to follow up the matter with the ROC should be attached with Form-1.

02 December 2012 is POA Mandatory, in case of one of the director is oppointing as MD.

03 December 2012 not at all required ., since in the AOA itself it will be present who is MD and ED., and in form 18, 32 and 1 ., there is a point of declaration., where it will be asking the director who is declaring the forms., he will be signing this through the digital signature....

Can a MD be appointed through Articles. As per our understanding, to become a MD firstly he/she should be director. But if you are going to appoint MD he should first be director at the time of incorporation.

03 December 2012 The Person should be a director and acquire DIN before he applies to form 1A itself., so he will become a director., and as per the Companies Act provisions., the subsribers of MOA are the directors of the company

I think, it is not a compulsion that subscriber is deemed director. Section 254 only give permission for deemed director not for deemed MD.

The terms and conditions and other things should be decided at the time of MD.

Hi, it is possible to appoint MD on the date of Incorporation by calling same day meeting.
