30 December 2014 Dear Sir, While filing resolution by boatd of directors disclosure of interest information in Form MGT-14, why ordinary resoluion with requisite majority and explanatory statement are required.Please guide.

30 December 2014 Thanks for the fast reply.
Error message :Mandatory Attachment -Copy of resolution along with copy of explanatory statement under section 102 has not been attached.
We have attached the resolution by clicking on the optional attachment as there is no explanatory statement in it.
Shall we have to attach the resolution by clicking on the -Copy of resolution along with copy of explanatory statement under section 102,which will be wrong.
Please guide.Thanks.
