07 July 2024 When changing the address of an LLP (Limited Liability Partnership) in India, you typically need to follow these steps:

1. **Approval by Partners**: The change of address must be approved by the partners of the LLP in accordance with the LLP agreement.

2. **Resolution**: Pass a resolution for change of registered office address in a partners' meeting or through a circular resolution.

3. **File Form LLP-15**: This form is used for intimating the Registrar of Companies (RoC) about the change in the registered office address. Here's how you proceed with Form LLP-15:

- **Attachments**: You need to attach the following documents with Form LLP-15:
- Copy of the resolution passed by the partners
- Copy of the notice of the change published in a newspaper (if required)
- Proof of the new address (e.g., rental agreement, sale deed, lease agreement, etc.)
- Any other relevant documents as required by the RoC

- **Filing**: File Form LLP-15 electronically on the MCA (Ministry of Corporate Affairs) portal within 30 days of the resolution date.

4. **Form LLP-03**: This form is used for notifying the RoC of any changes in partners, designated partners, and their particulars. If the change of address also involves changes in partners or designated partners (such as their address details), you may need to file Form LLP-03 alongside Form LLP-15. However, if the change is solely related to the registered office address, Form LLP-15 should be sufficient.

### Procedure Summary:
- Ensure the change of address is approved by the LLP partners.
- Prepare the necessary documents including the resolution, proof of the new address, and any required publications.
- File Form LLP-15 on the MCA portal along with the attachments mentioned above.
- Await approval from the RoC after submission.

If you are unsure about the specific requirements or need assistance with the filing process, consulting with a company secretary or a professional experienced in LLP matters can provide you with tailored advice and ensure compliance with all regulatory requirements.
