Whether shareholders approval is required in case of appointment of First Directors of the company ? Also pls let me know the Section which is applicable

In case of appointment of first director there is no need to take shareholders approval.
For details read section 254 and and Regulations 64 of Table A of schedule I of the Companies Act, 1956.

Agree what ever written in Article of association if full and final, However shareholder can change it !!
