Filing of form mgt-14

21 July 2015 Hello Sir, there is a query regarding disclosure of interest of FY 2013-2014. We had filed MGT 14 of our client on 20/07/2014 and shown it as first board meeting of that year. At the time of finalising the company we received a resolution dated 15/05/2014 from our client and the date of which cannot be changed. Now this is supposed to be the 1st board meeting. What is the remedy so that disclosure is on first board meeting ?

This is technically a violation of section 184 of Companies Act, 2013 and consequences under section 184(4) shall become applicable. You can do one thing prepare new MGT.14 for FY 2013-14 with correct details and right resolution date and file it with ROC along with late fees.

You can wait for the opinion of other experts.

23 July 2015 MGT 14 to be filed with in 30 days so you can attached a letter that subject when viewed due to lack of quorum adjourned to such date and mention date which you are suitable.
is it possible to do so in this case ?? or Can we file a rectification form GNL-4 for rectify ??
