18 January 2011 An executive director whose term has expired. Now he has not been re-appointed for another term as Exe. Dir. Now what is his position? Is he an ordinary director liable to retire by rotation? If yes, if he wish to be reappointed in AGM, whether his wish can be overlooked? and can the company appoint any other person in his place?
Plz suggest.

18 January 2011 If the place of the retiring Director not filled up and the meeting regarding appointment of Director in the place of retiring Director not held and the board decided not to fill the vacany then the retiring Director shall be deemed to be Re-appointed.

18 January 2011 If he wishes to to be Re-appointed then as under the provision of Sec 257 he has to write notice to the Board signifying his willingness to be reappointed as Director or any Member Shall propose him as director but his willingness shall be forwaded to the Board not less than 14 days from the Date of Agm.
