What is the procedure to frame ESOS by private limied company?

Hi
For issuing ESOS you will take the benefit of the provisions of section 81 of the Companies Act, 1956.
It is a good corporate practice to follow some pointes of ESOP Guidelines, 1999 which are applicable to public company.
