Please explain the powers of Company Law Board/Tribunal in convening the EGM - the Guidance of Judicial Rulings(i.e.- The main principles that should guide the tribunal as regards ordering meeting to be called).
Pl. explain in simple words as I am not able to understand from the book.

According to section 186, the CLB/Tribunal has the power to call a meeting other than the Annual General Meeting, if the Annual General Meeting of the company has not been held due to some reason and give such directions as it may think fit.
Directions may include that any one member of the company present in person or proxy shall be deemed to constitute a meeting.

Sir I agree with your answer, but what about the Extraordinary General Meeting when it is being convened by CLB/NCLT?
