EGM means a General meeting other than AGM
Following are the cases where One can Call EGM
1. Board of directors on their own motion 2. BOD on the request of members 3. By Tribunal/CLB
For Passing Special Resolutions, The company needs to take the approval of Shareholders is required and EGM be called by the Board of Directors Step 1: Convened a board meeting
2: Discuss the matters and Authorise One Director to issue the notice of General Meeting to every shareholders at their respective addresses.
3. The Gap Between the meeting and the Notice atleast for a period of 21 days and not more than 45 days otherwise a fresh requisition be filed on the expiry of 45 days
4. for requisition by a member, atleast 1/10th no. of member or 10% voting power must possessed by a member or members.
5. requisition must be in writing
6. It shall be held on Business hours and can be held on National Holiday (With the power of Articles)
7. The matter shall enclosed a Explanatory Statement as per Section 102 of the Companies Act, 2013
