18 September 2012 Hello Members,

Please resolve the following queries-

1.Can a auditor be appoint in EGM,even if there is no AGM has conducted by the Company(Newly Incorporated Company)

2.If Yes, is there any time gap required between EGM & AGM? can we conduct EGM as on 11th Sep and AGM as on 24th Sep of the same year?

3.What type of resolution is required for such purpose?

4.Please also inform the formalities related to ROC.



18 September 2012 AGM and/ or EGM can be conducted on same day... The period of notice for both is different... that must be taken into account. There is no bar on the number of meetings on UPPER side. You can conduct daily meetings if affordable. The appointment is done by GENERAL meeting. AGM or EGM... choice is of the company.

18 September 2012 Ordinary resolution is sufficient for appointment of auditor.

20 September 2012 Yes the auditors can be appointed in EGM, if the Board failed to appoint auditors within one month of the incorporation of hte Company.

20 September 2012 2. No problem you can do so, however, you can appoint auditors in AGM directly.

20 September 2012 For appointment of auditors Ordinary Resolution is required to be passed. After appointment of auditors, form 23B is to be filed by the Auditors to intimate the acceptance appointment to the ROc.
