One of our company do not have any significant transaction, except transactions regarding ROC and Audit fee.
Management also not interested to continued with the company, and decided to close the company, as there are no possibilities to have any business in the company.
Kindly advice how shall I proceed, I mean shall I start the company closure procedure, or Covert the company into dormant company and later on close the company?

I think you should go for Dormant Company because no other forms is need to be filed by the company. and in near future, if the directors wishes to continue the proceedings of the company, they may do so by converting Dormant to Active Status

Directors are not interested to carry on with the company at all not now and not in future. so basically the question id
1. Should i close the company right now?
2. Convert the company into dormant and then close later on?

if the purpose is to close the company then just follow the steps for close the company and you need not first go with Dormant and then with Closing of company
