Sir, I know that appointment of Directors retiring by rotation is an ordinary business in a general meeting. But whether the appointment of Ordinary directors or change in designation of an additional director to a director is an ordinary or specal business.

Business for change in designation is outside the preview of ordinary business. So if you want to regularise director then the same would be considered as a special business for which you have to prepare exp. statement.
