I am working with a pvt Ltd company there is only 2 director 1. boss 2. his wife

1.any borad letter needed for paying director salary

2. Can i pay
200000 per month to my boss (in director salary)
50000 par month to second director
with any legal problems

23 September 2010 Kindly appreciate strict provisions relating to managerial remuneration are not applicable to a private company. So you are free to give any remuneration to your directors subject to the provisions of your articles.

24 September 2010 I am completely Agree with Mr. Ankur. Check Articles of Association and pay any remuneration, no provision in Cos. Act related to Salary applicable to pvt. co.
