Bcz following are the detarminants of managerial remuneration:

1. Public co or private co or subsidiary of publuc co
2. Sec 269 is applicable or not
3. Effactive capital

11 September 2009 If your co. is a pvt. co. then there is no problem as strict provisions of managerial remuneration are not applicable to a pvt. co.
