Dates for roc purpose


11 November 2012 Sir, Kindly let me know whether following dates are valid as per company law and for Roc purpose:
1) Date of signing B/S & P&L by auditor &
Director:28/09/12.
2)Date of Board Meeting : 1/10/12.
3)Date of Signing Director's Report: 1/10/12.
4)Date of Special notice recd. for appointment of new auditor in place of existing auditor : 1/10/2012
5)Date of AGM : 29/10/2012.
No question of holding AGM within 6months as this is the 1st AGM of company. Kindly give specific reply with respect to the above dates. It is little urgent. Thanks in advance.

First of all you give the date of closing of books of accounts then expect a complete and perfect answer.

One point is very much clear that Directors put up their signatures on Balance Sheet after discussing it in their Meeting. You say Directors signed on 28th Sept and Meeting but meeting was held on 1st Oct.

In my opinion, 2 board meetings are held for approving and adopting accounts. In the first board meeting, the directors sign the accounts and send the same the same to auditor for audit purpose. After completion of audit again board meeting is held and in which signed financial statement and auditor report is adopted,directors report is signed. Subsequently notice of AGM is sent to members
