05 April 2013 Is it necessary to conduct a board meeting to conduct an AGM? if so when it should be conducted ? and when the AGM is to be conducted after the completion of Board Meeting? Please provide the ans with an example

06 April 2013 It is not mandatory to hold a board meeting to subsequently hold the AGM. AGM can be held even if not even a single board meeting has been held during the year.

The provisions of board meeting and AGM are independent of each other.
