25 September 2014 Ours is a Public limited company having 3 Executive directors. To form CSR Committee, one independent director is must. Since the relaxation upto one year is given on appointment of independent director, can the company constitute CSR committee with 3 Executive directors at present.

25 September 2014 till u dont include an independent director then u cannot form a valid csr commitee u/s 177.
