• BALANCESHEET SHOWS PAID-UP CAPITAL OF Rs. 1,00,000 WHILE MCA PORTAL SHOWS 10,00,000.(pvt co.) as well as i want to change my compny's mail id (pvt co.)
i need to correct above mistake,n want to make changes in mail id what is the proper procedure for that do i require to pass a resolution for both the things and if yes which type of resolution???? and which kind of meeting it should be taken into...?????
Take print out of Company Master data and if you will see on the right side of the company master data there is column for change or corrections if any.....
conduct board meeting and authorize some director to apply for the same...
Thirdly, on stamp paper of rs.10/- give affidavit for true contents as written below......the wording can be as under:-
on legal paper:---
that the company with name & style of....was incorporated on ....... with the registrar of companies .....
that the paid up capital of the company is ......since incorporation...or whatever..form 1 is attached herewith Annexure-I
that brief facts what happen or due to some clerical mistake or MCA portal showing paid up capital 10 lac instead of 1 lac...
that this is only a clerical; mistake and interest of no person will be effected by this rectification.
that if any person injure any loss due to this rectification the company will indemnify him...
check u have filed annual return with 1 lac also give Annexure for the same..
but sure check u have not paid up capital in the past....
as far as resolution is concerned it requires only board resolution.
but i feel in past your company may have filed eform 2 and may have increase paid up capital please check all these things...
