In listed company only one CS is required as a full time company secretary.

The Companies Act, 1956 read with Listing Agreement only says that the company have a company secretary, but not specify any limit.

A company can have many CS, but Form-32 for appointment of CS will be filed with ROC will be for one company secretary. For other CS, it is not required to file Form-32 and they will only assist the main CS.

There is no maximum limit but minimum one CS should have a listed company.

21 March 2012 With Due respect, I am putting my query in detail
I have cleared CS course with merit in Foundation & Executive exams. Right now i am doing Articleship. I am looking forward to do a job as a CS in a recognised company. Somebody told me that in a company there is a statutory requirement of only one CS. I am worried that if this is true, than we cant work in a good company(because of the fact that CS would have been already appointed). Is this my misconception Or can we work in a reputed company as a CS assisting the main Company Secretary

Thanks for sharing your problem.

Yes it is right that if a company comply the provision of Section 383A and appoint a whole time company secretary then such company comply the provisions of section 383A and no need to appoint additional company secretary.

If a company who already have a whole time CS and already filed Form-32 with ROC for such CS and if in future the company appoint another CS as an assistant then, there is no need to comply the provision of section 383A.

For you, if you are intended to join such company as assistant CS after qualify as CS, then your Form-32 will not file with ROC and you are not authorised to sign any form on behalf of the company. You should work only as an assistant.

What is the general tendency of Corporates as to number of CSs appointed in their organisation who are assisting the main CS of a company

Generally the company have only one CS and if the company demand they as a general practice have a trainee to assist CS.

21 March 2012 But sir as you were saying that there is no maximum limit as to the number of CSs which companies can have.Again in listed companies burden of procedural, Compliance and legal related work is much higher. How can a Single CS handle the whole work.By and large Trainees cannot be handy compared to the one who is CS Professional.if there are more than 50 CAs working in a company, Can only ONE CS handle the entire work??? Justify
