kindly help me on following matter:
what is the use of company seal?
seal means seal made of metals & is of such that it can mark a impression of company name of paper without ink.

it is such that make paper so to emerge a name of company name.

when is it require when a company has rubber stamp? what is its requirement

02 March 2010 Common seal is a statutory seal and can not be compared with rubber stamp.

Common seal should be used as per the provisions of the articles. Board resolution is required for the adoption of Common seal.

One the document on which Common seal affixed is share certificare.

02 March 2010 In absolute layman terms: Common Seal is made of metal and gets the name of the company embossed or engraved on the document on which it is affixed.

A rubber stamp is not a substitute to common seal. The seal is the official signature of the company and its use is restricted by the AOA of the Company. AOA of most companies would provide that the common seal should be affixed in presence of a director + one authorised signatory or at the instructions of the Board of Directors only.
