....Companies Act, 1956 does not specifically retsrict or allow the convening of Board Meeting through Video Conferencing. The Act is almost 55 years old and the provisions must be read with the changing times and advancement in technology.
Meeting is coming together of two or more persons for a particular purpose or transacting some business. In my opinion, Board Meeting through Video Conferencing should not be violation of any provisions of Companies Act, 1956 provided u should incorporate an enabling clause in the AOA of the Company.

Further in Board Meeting held through Video Conferencing, Directors can be heard and seen as in the case of a Board Meeting held with the physical presence of all the Directors. In my opinion Board Meeting held through Video Conferencing is perfectly valid and effectual as if a Board Meeting has been held with presence of all Directors.
