01 August 2014 If a special resolution is passed for deciding The remuneartion of The MD. Can He himself vote for The same??

01 August 2014 Special Resolution is to be passed by shareholders in the General Meeting and if such MD is also a shareholder of the Company, then he can definitely vote in the capacity of a shareholder.

However, MD cannot vote in board meeting as he will be considered interested in the resolution. But as a shareholder he can vote in general meeting even if he is interested.
