Company incorporation / drug licence

This query is : Resolved

23 June 2016 I have few queries in regards to company formation. Request expert advice

1) I intend to register a Pvt limited company in Maharastra (One of the proposed director has own flat there which is presently rented out). Is it OK to register the company on the address which is rented out?

2) The company is intended for Pharma business (Third Party Manufacturing) so Drug licence is required for the same. We have done marketing activity and want to market the pharma product in states of Jharkhand & Bihar. My question is can we take Drug licence on name of the company in Jharkhand/Bihar which has been registered in Maharastra? (One proposed director is a P.hd in Pharmaceutical science)

Need experts to comment on this

19 July 2024 Certainly, here are answers to your queries regarding company formation and drug license requirements:

1. **Registered Address for Company:**
- It is generally permissible to register a private limited company using an address that is rented out, provided that you have the necessary consent from the landlord and the address serves as a valid place of business for the company. However, there are a few considerations:
- Ensure that the rented premises can receive official communications and notices related to the company.
- Verify if there are any specific requirements or restrictions from the Maharashtra Registrar of Companies (ROC) regarding the type of premises that can be used as a registered office.

2. **Drug License for Pharma Business:**
- **Geographical Location:** Generally, drug licenses are issued by the respective State Drug Control Departments where the manufacturing or distribution activities are proposed to take place. Since your company is intended for third-party manufacturing and marketing in Jharkhand and Bihar:
- **Location of Drug License:** You can apply for drug licenses in Jharkhand and Bihar even if your company is registered in Maharashtra. Each state has its own set of regulations, and typically, you would need to comply with the local laws where the products will be manufactured or marketed.
- **Pharmaceutical Expertise:** The fact that one of your proposed directors holds a Ph.D. in Pharmaceutical Science can be advantageous. This expertise can help in navigating the regulatory requirements and ensuring compliance with the stringent norms of the pharmaceutical industry.

3. **Key Considerations:**
- **Compliance:** Ensure that your company complies with all local laws and regulations related to pharmaceutical manufacturing, distribution, and marketing in Maharashtra, Jharkhand, Bihar, and any other states where you intend to operate.
- **Documentation:** Prepare all necessary documents, including rental agreements for the registered office, details of the proposed directors, and any approvals required for pharmaceutical activities.
- **Consultation:** It is advisable to consult with a legal advisor or a professional familiar with company registration and pharmaceutical regulations to ensure all legal formalities are correctly followed.

By addressing these points systematically, you can proceed with confidence in establishing your private limited company for pharmaceutical business activities. If you have further questions or need clarification on specific aspects, feel free to ask!
