Section 288 of the Companies Act, 1956 provides that if a meeting of the Board cannot be held for want of quorum, then unless the Articles otherwise provide, the meeting shall automatically be adjourned till the same day in the next week, at same place, or if that day is a public holiday, till the next succeeding day which is not a public holiday. Section does not limit on adjournment of meeting it can be done many times subject to articles of the company.
In such case, it will not be considered any contravention of section 285 of the Act, if the Board meeting was called in compliance with the terms of section 285 and could not be held for want of quorum.
