18 February 2008 MY QUES. IS THAT IF A CO. WANTS TO CHANGE ITS REGISTERED OFFICE FROM ONE STATE TO ANOTHER THEN WHAT ARE THE PROCEDURE TO BE FOLLOWED BY THE CO.ALSO IN THE CASE OF (1)CHANGE IN NAME.

18 February 2008 pls refer sec11to 17 of companies act

18 February 2008 IN BOTH CAESS THE MEMORANDUM OF ASSOCIATION OF THE COMPANY NEEDS TO BE ALTERED.
THE APPROVAL OF SHAREHOLDERS IS REQUIRED TO BE OBTAINED BY PASSING REQUIRED SPECIAL RESOLUTIONS BY THE SHAREHOLDERS.
FOR CHANGING REGD. OFFICE FROM ONE STATE TO ANOTHER STATE YOU NEEDTO APPLY TO THE COMPANY LAW BOARD (THE CLB BENCH FOR EACH REGION IS DIFFERENT ). YOU HAVE TO APPLY TO THE BENCH OFFICER OF THE REGION CONCERBNED IN THE PRESCRIBED APPLICATION FORM WITH ALL APPLICABLE DOCUMENTS.
