Clubing of income or vat, excise payable

now we are running a manufacturing company1, to avoid central excise we decide to create a another company2 (both are same business) which the directors are the spouse of the directors in company1.
query:
1.whether the turnover will be clubbed for central excise?
2. If there is any other complications on this?
Kindly clarify.
