A Company had passed a cricular resoltuion on 28th April 2009 and till date it has not been included in the Board Minutes....We need to prepare the Board Minutes for 18th May 2010.
So my question is whether we can include it in the Board Minutes of 18th may 2010.??
Is there any time limit within which the circular resolution should be included in the Minutes.??
In Companies Act there is no rule that Circular resolution need to be recorded in minutes or any time limit.
But as per Secretairal Standard 7 every Circular resolution needs to be recorded in the next Board Meeting. Hence if no meeting was held between 28th April 2009 to 18th May 2010. than you can record else include in the Board Meeting immediately after 28th April 2009.
