A company in its Extra Ordinary General meeting held on 01st September, 2010 passed a resolution for change in name. The accounts of the company were finalised on 04th September, 2010.
So in the financial statements of the company being signed whether the new name should be used or the old name should be used as approval from ROC for change of name has not been received by the company at the time of signing the financial statements though the relevant forms were filed by 3rd September, 2010?

Actaully Sir this is conversion of a public limited company to a private limited company.
While signing the balance sheet old name was used i. e. XYZ Ltd. and the financials were signed on 04th September. Just a reference was given in the directors report and notes to accounts for the resolution passed in the EOGM.
But i thought it is wrong and hence was confirming the same what should have been done. So what has been seems to be correct by your response.

I thought resolution passed so the new name should have been used while signing the financials so was confused and so posted this. Now resolved. Old name to be used.

Since the new name is not yet approved the financial statements will bear the old name only.
Just your passing of resolution is not sufficient, the new name has to be approved by ROC and also a new coi has to be issued. Till then all your documents will bear the old name only.

dear sir, i have filed my annual return of 2009-2010 in roc with profit & loss account and balance sheet etc. but the problem is that for converting in pdf i copies balance sheet at page with profit or loss account. but at some places where i have put the formulas in balance sheet , it display 0 , the same balance sheet i have filed in roc, please suggest me to resolve this, if i can change the filed documents, then how . please response , its urgent.
