16 April 2008 Dear All,

I am confused.. Plz help me...

The case is as follows:

I am changing the Name clause of a Company. The operations and the objects will continue to remain the same...I have applied for form 1A and the name is also approved... Next I have passed the Special resolution and also the other documents like explanatory statement and Minutes of EOGM are also prepared I have filed From 23 attaching all the above documents. But now, I am being asked to change the Object clause of the company also..

My question is, why should I change the Object Clause also in order to change the name of the company??
plz solve my query...

Thankz a lot.

19 April 2008 The primary object should reflect inthe name of the Company therefore you may be asked for that.

19 April 2008 THE DEPT.GUIDELINES FOR CHANGE OF NAME IN MCA ARE INTERLINKED WITH THE MAIN OBJECTS OF A COMPANY.
THE PROPOSED NAME SHALL REFLECT THE MAIN OBJECTS.
IF I PRODUCE POWER AS THE MAIN OBJECT OF THE COMPANY BUT IF I NAME THE COMPANY AS
JUTE OR FERTILISER OR SOME SUCH OTHER ,IT WILL NOT BE APPROVED(ONLY EXAMPLE.WE MAY NOT DO IT THAT FOOLISH ).
IT HAPPENED SEVERAL TIMES WITH OUR GROUP COMPANIES IN HYDERABAD ,WHENEVER WE CHANGE AND PROPOSE A NEW NAME ,THE ROC IMMDTLY ASK TO CHANGE THE NAME TO SUIT THE MAIN OBJECT.
WHEN WE ADDED SEVERAL OBJECTS (NEW),ROC OFFICE SUGGESTED TO US TO ADD THE WORDS INDUSTRIES AS PART OF NEW NAME.THIS WILL INVOLVE HIGH AUTH. CAPITAL AND MORE ROC FEES PAYMENT FOR THE CO.
IN YOUR CASE THE REVERSESEEMS TO HAVE HAPPENED BECAUSE AFTER NAME APPROVAL, THERE IS NOTHING THAT CAN BE DONE.HENCE ROC ASKING TO ALTER OBJECTS.
YOU MAY MEET CONCERNED TECH.ASST/A.R.O.C/R.O.C TO SORT OUT THE ISSUE. IF ROC OFFICE HAS NO OTHER SOLUTION TO OFFER, THEN YOU MAY GO FOR ALTERING THE OBJECTS IF YOU WANT NEW NAME.
