1. A limited company was incorporated in the year 2005. 2. Two of the original promoter/ Directors resigned after the first closing of the company in the march, 2006. 3. No business was undertaken in the first closing of March, 2006. 4. No certificate of commencement of business has been procured till date. 5. The company started business in the financial year 2006-2007. 6. No Balance sheet of the company has been filed with ROC. 7. Now when the company approached the ROC for Certificate of Commencement of Business, The ROC insisted that the Balance sheets for 2006 and 2007 be filed. 8. No what are the option with the company to get the certificate of Commencement of business? 9. What are the options with the ROC, how will he proceed. Does he have the power to condone the delay? 10. Is there any other authority under Companies Act, who can condone the delay for procuring the certificate of commencement of business?
A person who has replied to my query has not answered the real part of my query, how can I get the certificate of commencement of business

YOU MAY FILE AUDITED ACCOUNTS FOR 06 AND 07 as stated by roc ONLINE ON www.mca.gov.in. roc filing fees for late filing -additional fees for delay of 7 to 12 months delay - normal fees plus 6 times of normal fees 13 to 24 months delay - normal fees plus 8 times of normal fees above 24 months delay - normal fees plus 9 times of normal fees. the late fees/additional fees is for condoning the delay by ROC WHO MAY EVEN CANCEL REGISTRATION OF A CO. AND DECLAE THE CO. AS DEFUNCT IF NO BUSINESS IS COMMEMNCED BY THE CO. BEFORE A CERTAIN PERIOD LIKE ONE OR TWO YEARS. R.V.RAO
