Can a shareholder (Individual)tranfer his shares comprising 50% of the paid up share Capital of the Indian Company to a NRI.

hi, i have a doubt regarding the incorporation and commencement of business

1 Any profit earned by a company before incorporation of business is considered as pre incorporation profit
however, 'if a public company earned any profit before commencement of business certificate and after incorporation' then what shall such profit be called.

2 can u give me clear information of about when a capital workinprogress and any expenditure earned before or at the starting of the business be considered as capital workinprogress

a pvt. company has gone to winding up and appointed liquidator.

now question is that can after appointing a liquidator a company can survive again.

Our company has appointed a person as an additinal director w.e.f 20/03/08. now, actually we want to appoint him as technical director. the company has no profits becoz in the gestation period. now how much maximum salry we can give to him per month.? what are the restrictions to the salary of other direcors. whether schedual xiii applies? our company is the subsidary of a public company. what is the procedure for his remuneration to be paid from april to june.
