A PVT COMPANY PASSED A SPECIAL RESOLUTION ON 30TH AUGUST 2009 FOR CONVERTING THE CO INTO PUBLIC CO.THE CO FILED THE STATEMENT IN LIEU OF PROSPECTUS IN ROC ON 26 0CT 2009.THE CO RECVD THE FRESH CERTIFICATE OF INCORPORATION ON 12 JAN 2010 AND THE FINANCIAL YEAR OF THE COMPANY ENDS ON 31ST DEC.WHETHER THE CO IS PVT LTD OR PUBLIC CO DURING THE PERIOD JAN 09 -DEC 09.

A Company wants to register his name so that he acquires sole right , suppose company name is Krishan Kumar Pvt Ltd whether it will register as krishan kumar ,have to register under Trademark or Tradename as there is no brand.

what all are the acts ,rules ,regulations are applicable to construction companies in Delhi(leaving apart companies Act,income tax act ,service tax ), more specifically relating to labour laws?

A company sells goods to SEZ Unit. Law says sell to SEZ unit is export of the supplier under SEZ act, Excise act and in Custom act.

But will that would be MERCHANT EXPORT of supplier company or would it be Actual Export of supplier.

I am confuse between Merchant Export and Export.

Please provide me the legal definition, if any, of Merchant export and export.

AS PER PROVISIONS OF SECTION 255 OF THE COMPANIES ACT, 1956 THE TOTAL NUMBER OF ROTATIONAL DIRECTORS SHALL BE 2/3RD OF TOTAL STRENGTH OF DIRECTORS. REMAINING 1/3RD OF THE TOTAL STRENGTH OF DIRECTORS CAN BE NON ROTATIONAL DIRECTORS.

NOW THE QUERRY IS:
IF THE TOTAL STRENTH OF THE COMPANY IS 5 DIRECTORS, THE MINIMUM NO. OF ROTATIONAL DIRECTORS SHALL BE 3 DIRECTORS OR 4 DIRECTORS.?

P.S.
THE PROVISIONS CONTAINED IN SECTION 256 PROVIDES THAT 1/3RD OF THE NO. OF ROTATIONAL DIRECTORS SHALL RETIRE AT EACH AGM. IT ALSO PARTICULARLY SPECIFIES THAT IF THE NUMBER IS NOT IN MULTIPLE OF 3 THAN HOW IT SHOULD BE COMPUTED. THERE IS NO SIMILAR METHOD SPECIFIED IN SECTION 255.
