11 September 2012 Is the provisions of Sec. 154 of the Companies Act, 1956 applicable to Unlisted Public Limited Company?

If yes, then is it necessary to give notice in the news paper? and before how many days?

What will do if a company mentioned a Book Closure / Record Date in the notice of the AGM without giving notice in the newspaper?

11 September 2012 Yes the provisions of section 154 applies to unlisted public companies as well.

Yes a company may only after giving atleast 7 clear days prior notice in any news paper circulating in the district, close its register of members.

In that case the company need to just determine the record date for which no formality is required.

Company may decide the record date and should not go for Book closure.

11 September 2012 Is there any format for news paper advertisement?

Minimum how many days for record date and 7 clear days notice from AGM date?


12 September 2012 7 clear days advance notice is required in case of Book closure. For AGM 21 clear days notice is required.

Then what will write in the AGM Notice (format for writing about Record Date)
