In my view, creating of SBU or divisions within the Company does not require board resolutions. Unless, it is a requirement of some statutory authority, such resolutions are not required. However, if required, it can be simply framed. Example: RESOLVED THAT the printing business of the company be named as ________ division and that Mr. ________, President be and is hereby authorised to communicate the name of the division of the Company to all the authorities as may be required for the purpose as well as to reflect the name of the division on all communications that may be made on behalf of the division and as may be required in the interest of the Company.
