Authorised signature in share certifcate

I have got a share certificate from a private firm in which authorised signature is left unfilled. Director is ready to do authorised signature as well. But who is the right person to do that? Will it be valid in all cases if director signs under authorised signature? (this person's signature is already present in share certificate under director's category)

01 March 2013 Although the signatures are important but there are certain other things you need to consider:

1. the common seal of the company should be affixed on the share certificate
2. also obtain copy of share register maintained by the company showing you as owner of such shares.
3. obtain copy of the corporate forms submitted to SEC showing the transfer or issuance of shares in your name.

if these three conditions are met then signature on share certificates are not important. but if the above company does not meet with the above conditions then signature on the share certificate stands no where.

01 March 2013 I see a seal on top of the certificate, mentioning firm's name. Also I contacted the firm for the following:

1. director's signature in place of authorised signature
2. certified copy of form 2 with list of allottee along with challan of filing form 2 (came to know about this through an expert in this site)

Please let me know if above are different from the things mentioned by you.


01 March 2013 I believe these are the same. If you got these documents, its fine and no need to be worried about it.

12 April 2013 A firm cannot issue share certificate it is only the Private and Public Limited companies and Co-operatives can issue share certificate.

It seems that you are talking about a Private Limited Company. Now, you have to see how many directors are there in the company if it is 2 then both the directors signing the share certificate is all right and if more than 2 then any two directors signing the share certificate is also all right provided the signing authority has been given by the Board of Directors
