any matter on which members give consent need to be passed in a way of resolution.
thus u can say that resolutoin is the result of the members discussions.
Ordinary resolution means matter is decided by simple majority i.e. if 10 members are present in meeting & if 6 consent than resolution is said to be ordinary resolution.
Special resolution requires consent of 3/4 majority so as per above eg consent of 8 members required.
Companies Act where ever specifies special resolution than that matter need to be decided by the 3/4 majority. else ordinary resolution will do.
