The Company has adopted its annual accounts for the year ended 31.3.2011 at the Board meeting held on 3.5.2011 where the statutory auditors has been re-appointed.The said auditors has also done the audit for the quarter ending 30.6.2011. The AGM has been convened on the Board meeting held on 12.7.2011 on which date the notice of AGM has been prepared.Now the auditors have expressed their unwillingness to be reappointed.
1. When should the existing auditors furnish their resignation letter? 2. What should be the date of letter for appointment of new auditor? 3. How the appointment of new auditors be done in the AGM to be held in August?

If ur AGM is done and auditor has been re-appointed than in that case Auditor has to resign as per their wish and u hv to hold EGM to appoint another dir.
If your AGM is still due and just notice of AGM is prepared then there is no issue. Simply re-draft the new AGM notice after re-considering the appointment of new auditor.
