Appointment of director and present of quoram of a board mee

14 November 2011 a pvt. co. want to insert a matter in his AOA that
"any new director will be appointed by Mr. X & Mr. Y only and no other directors are allowed the same" and
"In every Board Meeting Mr.X & Mr. Y should have been present to form a quoram"
that mean he want to give all the powers to a particular Director by the Articles
can he do so
please reply soon

17 November 2011 No, this is not allowed. You can give whole of the power to any one/two directors but it should fall within four corners of Companies Act.
