Query: Whether AOA of the co. need to be altered to give powers to BOD for appointing nominee directors under sec 161(3) or can the Board appoint nominee directors from the institutions based on the existing clause of its AOA without altering the AOA?

AOA must contain provision for appointment of Nominee Director.
