regarding directorship

04 August 2009 Respected Sirs,

Now the AASs have been changed to SAs. So can you please clarify me that for coming November 2009 PCC examination whether AAS are applicable or the SAs. And also please clarify the date from which these SAs are applicable.

04 August 2009 hi friends i am working as a director in a pvt ltd company.i also selected as management trainee in govt psu. i am working on both positions but in pvt ltd company i am not holding any responsibility but i am included as signing authority in company's account. 1. so i want to know that can i work at both places in any way.

2.can i sign and take part in any company resolution passed by directors.

3. can i sign a resolution for appointing a new director

4.in feature can i have any problem as i am working at two places.

Holding both the position is very risky as far as your MT in Govt. PSU is concerned.

Being a director you can sign the documents mentioned by you above. But signing resolution and company documents without proper knowledge is not a good and advisable practice. My advise would be to choose any one option.

05 August 2009 Signing any document without proper knowledge can be risky. Your position in the private company is of independent director (assuming no relationship other than director fees) thus you should not sign any dcument of the company.

If you are drawing salary from the company then i would prefer you to opt for any one post as Govt companies generally dont allow part time trainees
