22 January 2021 For the financial year ending 31.03.2020 the AOC-4 and MGT-7 have not yet filed. Not applied for filing due date extension. In this circumstances, please tell me the way how can I file the above forms?

06 July 2024 If AOC-4 (Annual Financial Statements) and MGT-7 (Annual Return) for the financial year ending 31.03.2020 have not been filed and the due date extension was not applied for, here’s what you can do to file these forms:

### Filing AOC-4 (Annual Financial Statements):

1. **Preparation of Documents**:
- Ensure that the financial statements (Balance Sheet, Profit and Loss Account, Cash Flow Statement, and Notes to Accounts) for the financial year ending 31.03.2020 are prepared in accordance with the Companies Act, 2013 and applicable accounting standards.

2. **Signing of Documents**:
- The financial statements must be approved and signed by the directors of the company.

3. **Filing on MCA Portal**:
- Log in to the MCA (Ministry of Corporate Affairs) portal using your credentials (Director Identification Number (DIN) and password).
- Navigate to the 'Annual Filing' section and select 'AOC-4' form.
- Fill in the required details accurately, including financial figures, director’s report, auditor’s report, etc.
- Attach the prepared financial statements as required.
- Submit the form and pay the applicable filing fees.

### Filing MGT-7 (Annual Return):

1. **Preparation of Documents**:
- Prepare the annual return in Form MGT-7, which includes details about the company’s shareholders, directors, and corporate governance.

2. **Signing of Documents**:
- The annual return must be approved and signed by the directors of the company.

3. **Filing on MCA Portal**:
- Log in to the MCA portal again using your credentials.
- Navigate to the 'Annual Filing' section and select 'MGT-7' form.
- Fill in the required details accurately, including information about shareholders, directors, meetings held during the year, etc.
- Attach any necessary documents as required.
- Submit the form and pay the applicable filing fees.

### Important Points to Consider:

- **Late Filing Fees**: Since these forms are being filed after the due date, late filing fees will apply. The late fees increase with the duration of delay, so it’s advisable to file them at the earliest to minimize penalties.
- **Penalties**: Failure to file these forms within the stipulated time may attract penalties, and the company may be marked as 'defaulting' on the MCA portal.
- **Compliance**: Ensure that all information provided is accurate and in compliance with the Companies Act and MCA guidelines.

If you are unsure about any specific details or requirements, consider seeking assistance from a qualified chartered accountant or company secretary who can guide you through the process and ensure compliance with all regulatory obligations.
