Hold the General meeting and pass the ordinary resolution for alteration of Share capital of the Company. File SH7 along with the following documents. Certified Copy of ordinary resolution Notice of EGM along with explanatory staement Altered copy of MOA - the capital Clause Clause V needs to be altered. The Altered capital is replaced and pasted with new capital. The Altered part of MOA shall be certified and duly stamped by the Director of the Company And there is no need to pass MGT 14 as no special resolution is passed and only ordinary resolution is only passed. Pay the stamp duty electronically through MCA site while filing SH 7

Hi @Jatin, I think the question is on how to alter the MoA if the MoA filed at incorporation is through e-MoA as the alteration to it is not possible. If filed manually then technically it will be incorrect as the subscribers are sheet will be signed back dated and the CA signed at that time may or maynot be available.

Ya MGT 14 can be filed with attaching the correct copy of the resolution and by giving the valid reson in form MGT 14 signifying the valid reason
