One of the Public Company(defunct company) is not holding AGM for the last 3 years. Now they have decided to hold AGM. Question: Is is right to say to register that yes we are not holding AGM for last 3 year now we have decided to hold. Is it necessary for the company to show that yes they are holding AGM in the past 3 years irrespective of the fact that annual return is not filed. What will be the consequences of not holding AGM. Is there any penalty for that. Company wants to take benefit of ongoing circular benefit.

You can file Annual return of past 3 years with additional fees showing the date of AGM held . Also if filed before 30 Aug 10 you will get 75% discount on additonal fee.
