If Ordinary resl passed in BM for contributing to charitable organization a sum of 25000/-. Then f23 is to be filed or not?

Not required to be filed in your case.
Form 23 is required to be filed for registering the resolutions and agreements with ROC the list of which is given in section 192(4).
So check section 192(4).

Hi...
First of all a resolution passed in the BM is a Board Resolution and not an Ordinary or Special Resolution.
Since your contribution to charitable organization is well within the limits of section 293(1)(e), no approval of the shareholders by way of an ordianry resolution is required.
