Voting in agm

12 October 2012 If a company has only two shareholders - both corporates.
How do the voting will take place in AGM.

Please guide...

The meeting will be done by authorised representative of members (Company).Voting by show of hand proposed and seconded method.

13 October 2012 Agree with Dear Ajay ji,

The Authorised Representative of both the companies will attend and vote in the meeting.


14 October 2012 Will they be then mentioned as proxy or representative in AGM. How they should be shown in AGM resolution.

15 October 2012 They are not proxy, they are representative of members.
In AGM resolution you will shown Mr. X proposed and Mr. Y seconded to the said resolution.

In attendance Column you will mention

1. Mr. X (In Person)
2. Mr. Y (In Person)

17 October 2012 In my opinion the attendance should be shown as under:

M/s XYZ Ltd: Mr. A (Through Representative)
M/s ABC Ltd: Mr. B (Through Representative)
