Validity of minutes

10 February 2011 Hi All,

I want to know whether the minutes of a meeting is rendered INVALID if it does not have the chairman's signature? If not, what is the status of such minutes?

11 February 2011 Section 193 -

In case of Board Meetings, the minutes needs to be signed by the chairman of the same meeting or the chairman of the next succeeding meeting.

In case of GM, by the chairman of the same meeting within 30 days or in the event of the death or inability of that chairman, by a director duly authorised by the Board for the purpose.

As per Section 194, minutes kept in accordance with the provisions of Section 193 shall be evidence of the proceedings recorded therein.

So the minutes without the signature of chairman may not stand the test of law.
