Statutory time limit of holding AGM within 15 months

This query is : Resolved

20 June 2009 Period of statutory time limit of holding AGM within 15 months, starts from date of original meeting or conclusion of adjouned meeting?

22 June 2009 From the conclusion of adjouned meeting.

22 June 2009 Does this has been written or notified somewhere?

23 June 2009 If you go by the language of section 191 it says where a resolution is passes at an adjourned meeting of board the resolution shall be deemed to have been passed on the date on which it was in fact passed.

By the language above we may interpret that a meeting continues till the date of adjournment and conclude when all the agenda items transacted at adjourned meeting.

23 June 2009 Thanks but here issue is not about passing of resolution, but the issue is about the interpretation of statue / law, wherein I want to know the date from which 15 months time period starts i.e. original meeting or adjourned meeting.

25 June 2009 Hi Kalpesh,

I think 15 m will be calculated from dae of original meeting as adjourned meeting is continuance of original meeting.
